1. Scope and agreement

These terms govern Netfleet subscriptions supplied by JOPA Studio to business customers. The provider’s address, enterprise/VAT number and contact appear above. The customer is the business identified in the accepted order or subscription agreement, represented by an authorised person. These terms and the DPA form part of that agreement when made available and accepted. Browsing the site, sending an enquiry or a later change to this page does not by itself constitute acceptance.

The agreed order specifies the plan, billing interval, price and any additional services. A specifically negotiated written provision prevails over these terms; the DPA prevails for personal-data processing. Netfleet is a software service, not the carrier or travel organiser. Passenger transport, bookings, cancellations and passenger refunds remain governed by the operator’s own contract and applicable law.

2. Accounts and acceptable use

The customer must have authority to represent its business, keep account details accurate, protect credentials and manage staff access. Report suspected unauthorised access promptly. Shared demo workspaces are for evaluation with fictitious data; do not put real passenger, driver or business records in them.

Use the service lawfully. Do not attempt to access another company’s data, bypass security or usage limits, upload unlawful material or disrupt the service. The customer is responsible for its instructions, uploaded content and notices to affected people.

3. Operational decisions

Quotes, route estimates, tax allocations and driving-time assessments depend on the data entered and external information. The operator must review results against actual operations and applicable requirements before relying on them. The software does not replace professional judgement, tachograph records or the operator’s transport and safety duties.

4. Trials, fees and cancellation

The self-service trial lasts 14 days without a payment card. A paid subscription requires selection and confirmation of a paid offer. Prices are in euros, excluding VAT unless stated otherwise. The checkout or order shows the plan limits and total payable before acceptance. Subscriptions are billed in advance monthly or annually as selected and renew for the same period unless cancelled before the next period begins. We send a reminder at least 30 days before an annual renewal.

You may cancel at any time through the billing portal where available or by emailing contact@jopa.studio. Cancellation takes effect at the end of the current paid period; there is no additional cancellation penalty. We confirm the effective date. Ordinary cancellation, reduced usage or an unused part of a monthly or annual period does not give a prorated refund. Any agreed credit or mandatory right remains unaffected.

We correct duplicate, incorrect or unauthorised charges and refund any overpayment. If you terminate because JOPA Studio has failed to remedy a material breach under the termination section, or we permanently discontinue your service without your breach, we refund prepaid fees for the remaining unused period. Refunds due are issued within 14 days after the amount and entitlement are established, normally to the original payment method. This is a B2B software contract; it does not set passenger refund rights.

Any price change is notified at least 60 days in advance, with its reason, such as changes in infrastructure costs, legal requirements or service scope. It applies only at a later renewal, never retroactively to a paid period. You may cancel before it takes effect. Changes requiring agreement are submitted for acceptance; silence is not treated as proof of acceptance.

5. Your data and third-party services

The customer retains rights to its data and authorises processing needed to deliver the service. Netfleet retains rights to its software and grants access for the agreed subscription period. The DPA governs processing on the customer’s behalf; the privacy notice explains Netfleet’s own controller activities.

Mailbox, routing and payment integrations depend on the providers selected and their terms. The customer must authorise connections and check that they meet its requirements. Availability or a service-level commitment must be agreed expressly; this page creates no uptime guarantee.

6. Suspension, termination and data return

Either party may terminate for a material breach that remains unremedied 30 days after written notice explaining the breach. Proportionate immediate suspension is permitted where necessary to contain an actual security threat or unlawful use, with prompt explanation where lawful and restoration once the risk is resolved. Routine non-payment is first notified with at least 14 days to resolve it. Minor breaches do not justify immediate termination.

On termination, we provide 30 days to obtain an export, through available export tools or assistance at contact@jopa.studio. Export of standard records and stored documents is included; any exceptional migration work requires a separately agreed quote. JOPA Studio then performs the controlled retention review and deletion described in the privacy policy and DPA, normally completing active-system deletion by day 60. Statutory duties and valid data-subject rights take precedence over contractual grace periods.

Deleting a workspace and cancelling a subscription are separate actions. Tell us if you intend to close the entire service so that we can coordinate both and avoid further renewals. Accounts and billing arrangements shared with other active companies are preserved for those companies.

7. Switching provider and data portability

You can request transfer to another provider or your own infrastructure at contact@jopa.studio. We start without an additional contractual notice period and provide reasonable cooperation, continuity and secure export during a transition of at most 30 calendar days, subject to a justified extension permitted by the EU Data Act. You may request one extension to suit your needs. We confirm completion and contract termination; the ordinary period-end cancellation rule does not prevent this switching right.

Exportable data includes customer input and output, associated metadata and stored documents. The standard export contains machine-readable JSON and original document files in an archive. Reusable credentials, other customers’ data and Netfleet’s own software or protected trade secrets are excluded; we explain any exclusion that affects your export. No switching or data-egress fee is charged. Only optional consulting beyond required switching assistance may be separately quoted. Unused prepaid service fees are refunded after an effective early termination through this process.

After the transition ends, you retain at least 30 calendar days to retrieve the export. The normal deletion schedule starts from the effective service end, not from the initial switching request; an agreed extended transition must not cause premature deletion. We erase customer data after the retrieval period under the DPA, unless you instruct earlier deletion or law requires otherwise. These rights include any stronger mandatory protection under the EU Data Act.

8. Liability, disputes and changes

Each party is responsible for direct, reasonably foreseeable damage caused by its contractual breach. For ordinary negligence, JOPA Studio’s aggregate liability arising from the service in a 12-month period is limited to the higher of EUR 1,000 or the fees paid or payable for the affected subscription during the 12 months preceding the event. Reasonable direct costs of restoring customer data can constitute direct damage. The cap does not reduce any refund due under these terms.

No exclusion or cap applies to fraud, intentional misconduct, gross negligence (including that of personnel), death or personal injury, or any liability that cannot lawfully be limited. These terms do not exclude performance of essential obligations or remedies for their non-performance, and no limitation applies where it would deprive an essential obligation of substance or create a manifest imbalance. They do not limit data subjects’ statutory rights or compensation under the GDPR.

Belgian law governs the agreement. First send a written complaint to contact@jopa.studio so the parties can seek a practical resolution; this does not prevent urgent court action or interrupt mandatory rights. Failing resolution, the competent courts of the judicial district of Walloon Brabant have jurisdiction, subject to mandatory jurisdiction rules. If a clause is unenforceable, the remainder continues where it can lawfully stand.

Material changes to these terms are notified at least 30 days before their proposed effect and apply prospectively only, with acceptance where required. Price changes follow the longer notice above. A customer who does not accept a material adverse change may terminate before it takes effect and receive a refund for the unused prepaid period. Updating this page alone does not amend a previously accepted contract.
